1. Overview
These Terms of Service govern access to and use of herexllc.com and purchases from Herex Fabric.
Herex Fabric is operated by Herex LLC.
By visiting our website, submitting an order, or using our services, you agree to these Terms and the policies incorporated into them, including our:
· Privacy and Cookie Policy;
· Refund and Return Policy;
· Shipping and Delivery Policy;
· Cancellation and Order Modification Policy; and
· Payment and Billing Policy.
Do not use our website or place an order if you do not agree to these Terms.
2. Eligibility
You must be at least 18 years old and legally capable of entering a binding agreement to place an order.
By placing an order, you represent that the information you provide is accurate, current, and complete.
3. Our products
Herex Fabric sells physical fabric and textile products, primarily by the metre.
Our selection may include:
· Silk;
· Satin;
· Lace;
· Tulle;
· Velvet;
· Cotton;
· Linen;
· Chiffon;
· Organza;
· Crepe;
· Embroidered fabric;
· Sequined fabric;
· Beaded fabric;
· Printed fabric;
· Stretch fabric;
· Bridal fabric;
· Evening and occasion fabric; and
· Other dressmaking and creative textiles.
Products may be standard stock, cut to the customer’s selected length, customized, personalized, made to order, on sale, or marked final sale.
4. Product information
We make reasonable efforts to display accurate product information.
A product page may include:
· Composition;
· Color;
· Width;
· Weight;
· Stretch;
· Transparency;
· Finish;
· Pattern;
· Care guidance;
· Suggested uses;
· Price per metre; and
· Available quantity.
Customers are responsible for reviewing the product description before purchasing.
Contact us before ordering when a particular color, composition, width, performance characteristic, or finish is essential to your project.
5. Color and textile variations
Colors may appear differently because of:
· Screen settings;
· Lighting;
· Photography;
· Device configuration;
· Dye-lot differences; and
· Natural or manufacturing variations.
Textiles may have reasonable variations in texture, weave, pattern placement, width, shade, or surface finish.
A minor variation that does not materially change the product is not necessarily a defect.
6. Products sold by the metre
Unless a product page states otherwise, fabric is priced and sold by the metre.
When multiple metres of the same product are ordered, we will attempt to provide one continuous cut whenever inventory permits.
If a continuous cut is unavailable, we may contact you before dispatch.
7. Custom and made-to-order products
Some products may be customized, personalized, specially sourced, or made according to customer instructions.
Any special conditions, including final-sale status, will be disclosed on the product page or agreed in writing before purchase.
You are responsible for checking customization instructions before submitting the order.
8. Orders and acceptance
Submitting an order is an offer to purchase.
An automated order confirmation only confirms that we received your order. It does not necessarily mean the order has been finally accepted.
We may reject or cancel an order where:
· A product is unavailable;
· Payment is unsuccessful;
· Information is incomplete;
· A price or description contains a material error;
· Fraud or unauthorized activity is suspected;
· Delivery cannot be completed;
· The order violates law or payment-provider rules; or
· Circumstances outside our reasonable control prevent fulfillment.
An order is accepted when we begin fulfillment or send confirmation of acceptance.
If we cancel a paid order, we will void or refund the applicable payment.
9. Prices
Product prices normally range from $10.99 to $64.99, although prices may change and special products or wholesale quotations may fall outside this range.
The price displayed on the product page and confirmed at checkout is the applicable price for that order.
All prices are displayed in United States dollars unless another currency is expressly shown.
10. Taxes
Displayed prices include applicable sales taxes where we are able and legally required to include them.
Any additional tax that must legally be collected separately will be clearly shown before payment is submitted.
11. Payment
Available payment methods may include:

Delivery times are estimates unless we expressly identify a guaranteed delivery service.
14. Returns, exchanges, and refunds
Returns, exchanges, and refunds are governed by our Refund and Return Policy.
Regular cut-to-length fabric may be returned if it satisfies the return conditions.
Customized, personalized, made-to-order, or clearly marked final-sale products may not be returnable unless they arrive damaged, defective, materially misdescribed, or incorrect.
15. Cancellations and changes
Order cancellations and modifications are governed by our Cancellation and Order Modification Policy.
Because orders are normally processed within one business day, contact us immediately when a change is required.
16. Wholesale orders
We may accept wholesale or high-volume orders.
Wholesale availability, prices, minimum quantities, payment terms, production times, and return conditions may be provided in a separate written quotation or agreement.
Submitting a wholesale inquiry does not guarantee availability or approval.
17. Promotions, discounts, and gift cards
Promotions may be subject to:
· Start and end dates;
· Product exclusions;
· Minimum purchase requirements;
· Customer or location restrictions; and
· Usage limits.
Unless otherwise stated:
· Only one discount code may be used per order;
· Codes cannot be exchanged for cash;
· Codes cannot be added after an order is submitted; and
· Discounts do not apply to previous purchases.
Gift cards are subject to the conditions displayed when purchased and applicable law.

You may submit reviews, photographs, comments, or other content where this functionality is available.
By submitting content, you confirm that:
· You own or control the necessary rights;
· The content is accurate to the best of your knowledge;
· The content is not unlawful or misleading;

· You have permission from identifiable people shown in submitted photographs.
You grant Herex LLC a nonexclusive, worldwide, royalty-free license to display, reproduce, adapt, and use the submitted content in connection with our store and marketing, subject to applicable privacy law.
We may remove content that violates these Terms.
19. Acceptable use

23. Product use and care
Customers are responsible for assessing whether a fabric is suitable for their intended project.
Customers should test care, cleaning, washing, ironing, dyeing, sewing, and treatment methods before applying them to the full product.
We are not responsible for damage caused by incorrect cutting, sewing, washing, treatment, storage, or use after delivery.
24. Disclaimer of warranties
To the fullest extent permitted by law, our website is provided on an “as available” basis.
Nothing in these Terms excludes mandatory consumer protections, warranties, or guarantees that apply under applicable law.
25. Limitation of liability
To the fullest extent permitted by law, Herex LLC is not liable for indirect, incidental, special, or consequential losses arising from website use or product purchase.
Where liability cannot legally be excluded, liability will be limited only to the extent permitted by law.
Nothing limits liability for fraud, intentional misconduct, or any liability that cannot legally be limited.
26. Indemnification
To the extent permitted by law, you agree to indemnify Herex LLC against third-party claims resulting directly from:
· Your unlawful use of the website;
· Your material violation of these Terms; or
· Your infringement of another person’s rights.
This does not apply to the extent a claim was caused by our own unlawful conduct.

· Government action;
· Customs disruption;
· Carrier interruption;
· Labor disputes;

These Terms are governed by the laws of the State of Wyoming and applicable federal laws of the United States, without regard to conflict-of-law principles.
Mandatory consumer protections in a customer’s jurisdiction remain unaffected.
29. Resolving disputes
Before starting formal legal proceedings, contact us at contact@herexllc.com so we can attempt to resolve the matter.
Subject to mandatory consumer rights, legal proceedings may be brought in a court with appropriate jurisdiction in Wyoming, United States.
30. Severability
If a provision is found invalid or unenforceable, the remaining provisions will continue in effect.
31. No waiver
Failure to enforce a provision does not waive the right to enforce it later.
32. Changes to these Terms
We may update these Terms for operational, legal, or regulatory reasons.
The current version will be published with an updated effective date.
